The Board of Directors, duly constituted, is the supreme body of INFECAR, which it shall represent, taking all the necessary steps and making all the necessary agreements to achieve its purposes, particularly on the following matters: a) The knowledge and resolution of all matters submitted to it by the Executive Committee. b) The examination, approval and settlement of the General Budgets, and, where appropriate, of the Extraordinary Budgets. c) The approval of the Annual Calendar of Activities. d) The approval of the Annual Report of all activities carried out. e) The authorization of Credit Operations and Treasury Operations. f) The approval of Investments in facilities and real estate. g) The approval of service concessions at the Fairgrounds. h) The exercise of actions before any judicial or administrative body, as well as the granting of powers of attorney for such purpose. i) The appointment of Auditors. j) The appointment and dismissal of the General Director, as well as his management personnel. k) The granting of honors and distinctions. Trade Fair Institution of the Canary Islands (INFECAR)<\/p>\n\n\n\n ARTICLE 12: Powers of the Executive Committee. The Executive Committee is the permanent body of INFECAR. It shall plan, administer and control everything related to INFECAR and its activities. It shall carry out all actions delegated to it by the Board of Directors, and all those it considers necessary for the achievement of INFECAR’s objectives, mainly: 1. 2. To propose to the Board of Directors the modification of these Bylaws.<\/p>\n\n\n\n GENERAL DIRECTOR: 1. To execute the resolutions adopted by the different bodies of the Trade Fair Institution. 2. 2. To carry out trade fairs, congresses and events of all kinds related to the purposes of INFECAR in accordance with the guidelines set forth by the Board of Directors and the Executive Committee. To elaborate and develop work plans and their corresponding budgets of income and expenses. To oversee their fulfillment once approved by the Executive Committee and the General Board and to inform them of their results. 4. The Administrative and Technical Direction of the Fair as well as of the totality of the contests and events that are celebrated in the fair framework, holding the leadership of all the services. For this purpose, he\/she shall have the powers necessary for the exercise of his\/her office and the powers expressly granted to him\/her by the Executive Committee. ARTICLE 23.
